These Terms of Service (“Terms”) apply to the website bdebookkeepingsolutions.com, to any apps, online tools, forms and downloads we provide, and to the bookkeeping services offered by BDE Bookkeeping Solutions LLC (“BDE”, “we”, “us”, “our”), a Tennessee limited liability company based in Shelbyville, Tennessee. Together these are our “Services.” By using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. Using our website and apps

• You may use the Services only for lawful purposes and in line with these Terms.
• Do not try to break, overload, scrape, copy or gain unauthorized access to the Services or the systems behind them.
• Information you give us (for example in a contact form, sign-up form or booking) must be accurate, and it must be yours to share.
• If an app or tool of ours lets you connect another account (such as a social media, accounting or payroll account), you authorize us to access that account only as needed to provide the feature you asked for, within the permissions you grant. You can disconnect it at any time through that service or by contacting us.

2. Bookkeeping services

• Free Bookkeeping Review. The free review is no-obligation. We go over your books and tell you what we see and what we would do to fix them.
• Paid services. Monthly bookkeeping, cleanup and catch-up, the Books Review & Checkup, payroll support, QuickBooks setup and other paid work are provided under a quote or engagement agreement. If that agreement differs from these Terms, the agreement controls for that work.
• Your records. You are responsible for giving us complete and accurate information and for timely access to your accounts and documents. Our work depends on what you provide.
• Taxes. BDE does not prepare business tax returns. We keep your books clean and work alongside your CPA or tax preparer.
• Not professional advice. Information on our website, in our blog posts, newsletters, checklists and downloads is general information, not tax, legal or financial advice. Talk with a qualified professional about your specific situation.

3. Prices, offers and payments

• Prices on our website are starting prices. Your actual price depends on your accounts, transaction volume and the support you need, and is confirmed in your quote before work begins.
• Promotions and coupon codes have their own terms, are for new clients unless stated otherwise, cannot be combined unless stated otherwise, and end on the date shown.
• We may change prices, services and offers at any time. Changes do not affect work already quoted and accepted.
• Payment terms are set out in your quote or engagement agreement.

4. Newsletter and emails

If you sign up for our newsletter, we will send you bookkeeping tips and updates. You can unsubscribe at any time using the link in any email or by replying “unsubscribe.”

5. Third-party services

The Services may link to or work with services run by other companies, such as QuickBooks (Intuit), Gusto, Calendly, Google and Meta (Facebook and Instagram). Those services have their own terms and privacy policies, and we are not responsible for them.

6. Our content

The website, blog posts, checklists, images and other materials we provide belong to BDE or its licensors. You may view them and download our free resources for your own business use. You may not resell, republish or present them as your own without our written permission.

7. Privacy

Our Privacy Policy explains what information we collect and how we use it. It is part of these Terms.

8. No guarantees

We work carefully, but the website, apps and free resources are provided “as is” and “as available,” without warranties of any kind, to the fullest extent allowed by law. We do not guarantee any particular business, financial or tax result.

9. Limit of liability

To the fullest extent allowed by law, BDE is not liable for indirect, incidental, special or consequential damages, or for lost profits or data, arising from your use of the Services. For any claim related to the Services, our total liability is limited to the amount you paid BDE for the service involved in the three months before the claim arose.

10. Ending use

You may stop using the Services at any time. We may suspend or end access to the website or apps for anyone who misuses them or breaks these Terms. Ending paid services is handled under your engagement agreement.

11. Governing law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Tennessee.

12. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above shows the latest version. Continuing to use the Services after a change means you accept the updated Terms.
